1. Acceptance of Terms
By accessing or using the ZuriCards platform — available at zuricards.com and any associated applications (the "Platform") — you agree to be legally bound by these Terms and Conditions ("Terms"). Please read them carefully before creating an account or using any feature.
If you do not agree to these Terms in their entirety, you must stop using the Platform. These Terms constitute a binding legal agreement between you and TKH Tech ("ZuriCards," "we," "us," or "our"). By clicking "I agree," creating an account, or continuing to use the Platform, you confirm that you have read, understood, and accepted these Terms, along with our Privacy Policy, which is incorporated herein by reference.
2. Eligibility
2.1 Age Requirement
ZuriCards is intended for users who are at least 18 years of age. By registering, you represent and warrant that you are 18 or older. Users under 18 may browse publicly shared celebration pages but may not create an account, purchase tickets, send digital gifts, place Aso Ebi orders, or access any paid feature. We reserve the right to suspend or terminate any account we reasonably believe is operated by a person under 18.
2.2 Capacity
You represent that you have the legal capacity to enter into a binding contract under the laws of your country of residence and under the laws of the Republic of Benin. If you use the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2.3 Geographic Availability
ZuriCards is designed primarily for users in Benin Republic and the broader West African region, including Ivory Coast, Togo, Senegal, and Guinea. Payment processing and SMS delivery are subject to regional availability and may not function in all countries.
3. Account Registration
3.1 Creating an Account
To access the full features of ZuriCards, you must create a personal account. During registration, you must provide accurate, current, and complete information, including your full name, a valid email address, and a phone number. You agree to keep this information up to date.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@zuricards.com if you suspect any unauthorized access to your account. ZuriCards will not be liable for any loss or damage arising from your failure to protect your credentials. You may not share your account with any third party or create multiple accounts for the same person.
3.3 Account Termination
ZuriCards reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or abused the Platform or its users.
4. Services Described
ZuriCards is a digital celebration platform built for West African events and milestones. The following core services are offered:
- Celebration Pages: Event organizers can create digital celebration pages for occasions such as weddings, engagement parties, naming ceremonies, birthday parties, funerals, and graduations.
- Digital Invitations: Organizers can design and send digital invitations to guests via link, email, or WhatsApp, using customizable templates suited to West African celebration styles.
- Save-the-Date Cards: Organizers may create and distribute digital save-the-date cards in advance of their event.
- Thank-You Cards: Following an event, organizers may create and send personalized digital thank-you cards to guests and contributors.
- Digital Gifting: Guests may send monetary gifts to organizers through the Platform using supported payment methods. All gifts are processed in XOF (CFA Franc) and subject to the service fee in Section 5.
- Event Ticketing: Organizers may sell event tickets through the Platform. All ticket transactions are processed in XOF and subject to the service fee in Section 5.
- Aso Ebi Fabric Ordering: Organizers may set up Aso Ebi fabric ordering through their celebration page, allowing guests to purchase designated event fabrics.
- SMS Guest Messaging: Organizers may send SMS messages to their guest list directly from the Platform, subject to available credits and the terms in Section 9.
ZuriCards continuously develops the Platform. We may add, modify, or discontinue any feature at any time, with or without notice.
5. Payments and Fees
5.1 Supported Payment Processors
All financial transactions on ZuriCards are processed exclusively through our integrated payment partners: KkiaPay and FeexPay. By making a payment on the Platform, you also agree to the applicable terms of the relevant payment processor. ZuriCards does not store or directly handle your payment card or mobile money credentials.
5.2 Currency
All prices, fees, and payments on the Platform are denominated in XOF (CFA Franc / FCFA). ZuriCards does not accept payment in any other currency. If your payment method is issued in a different currency, your payment provider may apply conversion fees, for which ZuriCards bears no responsibility.
5.3 Platform Service Fee
ZuriCards charges a service fee of 1.5% (one and a half percent) on the gross amount of each digital gift sent and each ticket purchased through the Platform. This fee is automatically deducted before the net amount is made available to the organizer. For example, a gift of 10,000 FCFA will result in a ZuriCards service fee of 150 FCFA. The service fee is non-negotiable and is presented transparently in the transaction flow. ZuriCards reserves the right to adjust its service fee with prior notice as described in Section 15.
5.4 Payment Processor Fees
Payment processors (KkiaPay or FeexPay) may charge their own transaction fees in addition to the ZuriCards service fee. These fees are governed by the respective processor's terms and are separate from ZuriCards' fee. ZuriCards is not responsible for any charges applied by payment processors or your mobile money provider.
5.5 Organizer Payouts
Funds collected on behalf of an organizer will be made available for withdrawal in accordance with the payout schedule in the organizer's account dashboard, subject to identity verification, applicable regulatory requirements, and payment processor availability. ZuriCards reserves the right to withhold payouts if we reasonably suspect fraud, a dispute, or a violation of these Terms.
5.6 Taxes
ZuriCards' service fees may be subject to applicable value-added tax (VAT) or other taxes as required under Beninese law or the laws of your jurisdiction. Users are solely responsible for any taxes applicable to their own transactions, earnings, or activities on the Platform.
5.7 Failed Transactions
If a payment fails for any reason — including insufficient funds, network errors, or processor downtime — ZuriCards bears no responsibility for the failure. ZuriCards does not guarantee uninterrupted availability of payment processing services.
6. Gifting Terms
6.1 Nature of Digital Gifts
Digital gifts sent through ZuriCards represent a voluntary monetary contribution by the guest to the organizer and are not a payment for goods or services.
6.2 No Refunds on Digital Gifts
All digital gifts are final and non-refundable. Once a digital gift has been successfully processed, ZuriCards will not reverse or refund it under any circumstances, including the organizer cancelling or postponing the event, a dispute between the donor and the organizer, or the donor changing their mind after the transaction is confirmed.
If a donor believes their gift was processed in error due to a verified technical fault attributable to ZuriCards, they may contact support@zuricards.com within 48 hours of the transaction. ZuriCards will investigate and, if a platform-side error is confirmed, determine the appropriate remedy at its sole discretion.
6.3 Event Cancellation
ZuriCards is not responsible for an organizer's cancellation, postponement, or material alteration of a celebration event. Disputes between donors and organizers regarding such changes are to be resolved between the parties directly.
7. Ticketing Terms
7.1 Ticket Purchases
Each ticket purchase is a transaction between the attendee and the organizer. ZuriCards acts solely as a technology intermediary, processing the payment and issuing the digital ticket on the organizer's behalf. ZuriCards does not guarantee admission to any event.
7.2 Refund Policy for Tickets
Ticket refunds are at the sole discretion of the organizer. Before purchasing a ticket, attendees should review the refund policy specified by the organizer on the event's celebration page. ZuriCards does not mandate that organizers offer refunds and will not issue refunds directly to attendees on an organizer's behalf.
7.3 Event Cancellation
ZuriCards is not responsible for the cancellation, postponement, or modification of any event by an organizer. The execution and delivery of the event are entirely the organizer's responsibility.
7.4 Fraudulent Tickets
Duplicating, reselling, or otherwise misusing digital tickets is strictly prohibited. ZuriCards reserves the right to deactivate tickets or suspend accounts where misuse is detected.
8. Aso Ebi Terms
Aso Ebi is a West African cultural tradition in which event guests purchase a designated fabric to wear in solidarity with the celebration. ZuriCards provides digital tools for organizers to manage Aso Ebi fabric selection and guest ordering.
8.1 Organizer Responsibilities
The organizer is solely responsible for accurately describing the fabric type, color, price, and minimum order quantity; coordinating the sourcing, procurement, and delivery of fabric to guests; and handling disputes between guests and fabric suppliers. ZuriCards provides only the digital ordering infrastructure and is not a fabric retailer, supplier, or delivery service.
8.2 Refunds and Disputes
Refund eligibility for Aso Ebi orders is determined by the organizer's stated policy. ZuriCards is not a party to the contract between the guest and the organizer for the supply of fabric. Guests with complaints about fabric quality, quantity, or delivery must contact the organizer directly.
9. SMS Messaging
9.1 SMS Credits
Organizers may send SMS messages to their guest list using SMS credits purchased through the Platform. SMS credits are non-refundable once consumed. Unused credits do not expire but are tied to the organizer's account and may not be transferred.
9.2 Permitted and Prohibited Use
SMS messaging through ZuriCards is exclusively for celebration-related communications: event reminders, RSVP confirmations, Aso Ebi notifications, thank-you messages, and logistical updates. Organizers may not send unsolicited commercial messages, abusive or threatening content, false information, or content that violates any applicable law or regulation in Benin Republic or the recipient's country. Violation of this section may result in immediate suspension of SMS access and termination of the organizer's account, without refund of remaining credits.
9.3 Guest Consent and Delivery
Organizers are responsible for ensuring they have appropriate consent from guests before sending SMS messages. ZuriCards does not guarantee delivery of SMS messages. Message delivery may be affected by mobile network availability, carrier restrictions, or other factors outside ZuriCards' control. SMS credits are consumed upon dispatch, regardless of delivery status.
10. User Content and Intellectual Property
10.1 Your Content
When you upload, post, or share content on ZuriCards — including photos, event descriptions, invitation text, and messages ("User Content") — you retain ownership of that content. By making User Content available on the Platform, you grant ZuriCards a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and adapt your User Content solely for the purpose of operating and improving the Platform. This license does not allow ZuriCards to sell your content to third parties or use it for advertising purposes without your separate consent.
10.2 Content Standards
You represent and warrant that you own or have the right to use all content you upload; your content does not infringe any third-party rights; your content complies with all applicable laws; and your content does not contain malware or harmful code. ZuriCards reserves the right to remove any User Content that violates these Terms or that we determine to be harmful or inappropriate.
10.3 ZuriCards Intellectual Property
All intellectual property on the Platform not constituting User Content — including the ZuriCards name, logo, brand identity, platform design, software, databases, and invitation templates — is the exclusive property of TKH Tech. You may not copy, reproduce, distribute, modify, or commercially exploit any ZuriCards intellectual property without our prior written consent.
11. Prohibited Uses
In addition to any other restrictions stated in these Terms, you agree not to use ZuriCards to:
- Violate applicable law in the Republic of Benin or any other applicable jurisdiction, including anti-money laundering laws, data protection regulations, or telecommunications regulations.
- Commit fraud — create fictitious events or listings with the intent to collect funds under false pretenses.
- Impersonate another person, organization, or entity in a misleading or deceptive way.
- Harass or harm others — send threatening, abusive, or harassing messages to other users, guests, or ZuriCards staff.
- Spam — use any ZuriCards feature to distribute unsolicited or bulk commercial communications.
- Launder money — use the gifting, ticketing, or Aso Ebi payment features as a mechanism for money laundering or any financial crime.
- Circumvent fees — attempt to avoid ZuriCards' service fees through chargebacks, refunds, or any other mechanism.
- Interfere with the Platform — upload malicious code, conduct denial-of-service attacks, or reverse-engineer the Platform's software.
- Scrape or extract data from the Platform without ZuriCards' prior written consent.
- Exploit minors — use the Platform in any way that involves or exploits individuals under the age of 18.
ZuriCards reserves the right to investigate suspected violations and take appropriate action, including account suspension, withholding of funds, and referral to law enforcement.
12. Privacy
TKH Tech, operating as ZuriCards, is the data controller for personal data collected through the Platform. We process personal data in compliance with the regulations administered by the APDP — Autorité de Protection des Données Personnelles of the Republic of Benin. We do not sell your personal data to third parties for marketing purposes. Our full Privacy Policy contains complete details on our data practices and is incorporated by reference into these Terms.
13. Disclaimers and Limitation of Liability
13.1 Platform Provided "As Is"
ZuriCards provides the Platform on an "as is" and "as available" basis, without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, ZuriCards disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.2 No Liability for Third-Party Actions
ZuriCards is not responsible for: the content or conduct of organizers; the quality, delivery, or authenticity of Aso Ebi fabrics; the occurrence, quality, safety, or cancellation of any event; or the actions of payment processors, SMS carriers, or any other third-party service provider.
13.3 Limitation of Liability
To the maximum extent permitted by law, ZuriCards' total aggregate liability to any user for any claim shall not exceed the amount of ZuriCards service fees actually paid by that user in the six (6) months preceding the event giving rise to the claim, or 10,000 FCFA, whichever is greater. In no event shall ZuriCards be liable for any indirect, incidental, special, consequential, or punitive damages.
13.4 Indemnification
You agree to indemnify, defend, and hold harmless ZuriCards, TKH Tech, and their respective directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your violation of these Terms, or any event you organize through the Platform.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Benin, without regard to its conflict of law provisions.
14.2 Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Benin, including the CRIET — Cour de Répression des Infractions Économiques et du Terrorisme where applicable under Beninese law.
14.3 Informal Resolution
Before initiating any formal legal proceeding, we encourage users to contact us at support@zuricards.com to attempt to resolve any dispute informally. We will make a good-faith effort to respond within 10 business days.
14.4 Language
These Terms are written in English. A French version is available on the Platform for reference. In the event of any inconsistency between the English and French versions, the English version shall prevail.
15. Changes to Terms
ZuriCards reserves the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on the Platform with a revised date and notify registered users by email. We will provide at least 14 days' notice before material changes to fees or core service terms take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
